B2B Terms of Use
The terms that govern how channel partners, agents, and institutional representatives use our partner platform.
Last updated: 14 September 2026Acceptance of These Terms
These B2B Terms of Use ("Terms") govern access to and use of the Vinayak K Academy partner platform, portal, and related services by channel partners, sub-agents, consultants, and institutional representatives (each, a "Partner").
By registering as a Partner, accessing the partner portal, or submitting a student lead to us, you accept these Terms on behalf of yourself and the entity you represent, and you confirm that you are authorised to do so.
If you do not accept these Terms, do not access the partner platform or submit leads to us.
Definitions
- "Company" means Vinayak K Academy Private Limited, a company incorporated in India with its registered office at Sector 15, Gurugram, Haryana 122001.
- "Platform" means the partner portal, dashboards, documentation, APIs, and any tools the Company makes available to Partners.
- "Student" means a prospective applicant whose details are submitted to the Company by a Partner.
- "Lead" means a Student record submitted through the Platform or through an agreed channel.
- "Institution" means a university, college, or academic body in the Company's network.
- "Commission" means the amount payable to a Partner under an executed commission schedule.
Eligibility and Onboarding
Partner status is granted at the Company's discretion and only after onboarding is complete. To be eligible, a Partner must:
- Be a validly registered business entity or a legally competent individual consultant.
- Provide accurate registration details, including PAN, GSTIN where applicable, and the details of an authorised signatory.
- Complete the Company's verification and documentation process.
- Hold any registration, licence, or approval required to operate as an education consultant in the Partner's jurisdiction.
The Company may request updated documents at any time and may suspend Partner access until verification is complete.
Partner Accounts and Credentials
Partner credentials are issued to named individuals and are not transferable. The Partner is responsible for all activity carried out under its credentials, including activity by its employees and sub-agents.
- Keep login credentials confidential and do not share them outside the authorised team.
- Notify the Company immediately of any suspected unauthorised access.
- Request removal of access for employees who leave or change roles.
- Do not attempt to access data, dashboards, or records belonging to another Partner.
Scope of the Partnership
The Company grants the Partner a limited, non-exclusive, non-transferable, revocable right to access the Platform and to refer Students to the Company for the term of the partnership.
The relationship between the Company and the Partner is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, franchise, employment, or agency relationship beyond the referral arrangement described here. Neither party may bind the other or incur liabilities on the other's behalf.
The Partner has no authority to issue admission decisions, confirm scholarships, guarantee visa outcomes, or make commitments on behalf of any Institution or the Company.
Lead Submission and Student Consent
Before submitting a Lead, the Partner must obtain the Student's informed consent — and, where the Student is under 18, the consent of a parent or legal guardian — to share their personal data and documents with the Company and with the Institutions they apply to.
- Submit only genuine Leads from Students who have actually expressed interest.
- Submit accurate academic records and never alter, fabricate, or misrepresent a document.
- Do not submit duplicate Leads or Leads already registered with the Company by another Partner.
- Attribution of a Lead is determined by the Company's records of first valid submission.
The Company may reject, de-duplicate, or reverse a Lead that does not meet these requirements, and Commission will not be payable on a rejected Lead.
Commission, Invoicing, and Payment
Commission rates, qualifying events, and payment cycles are set out in the commission schedule executed with the Partner. That schedule prevails over any general statement on the website.
- Commission becomes payable only after the qualifying event defined in the schedule — typically confirmed enrolment and receipt of the corresponding amount by the Company from the Institution.
- The Partner must raise a tax-compliant invoice before payment is released.
- Payments are subject to applicable taxes, tax deduction at source, and bank charges.
- Where a Student withdraws, defers, or is refunded, the Company may reverse, withhold, or set off the corresponding Commission.
- Any dispute on a Commission statement must be raised in writing within 30 days of the statement date.
Partner Obligations and Prohibited Conduct
The Partner represents that it will act honestly, professionally, and in compliance with applicable law. The Partner must not:
- Guarantee admission, scholarship amounts, visa approval, placement, or any other outcome to a Student.
- Make false or misleading claims about the Company, an Institution, a programme, its accreditation, or its ranking.
- Charge a Student any fee in the Company's name that has not been authorised in writing.
- Collect Institution fees into the Partner's own account unless expressly authorised in writing.
- Submit forged, altered, or fraudulently obtained documents.
- Run paid advertising on the Company's brand name or trademarks without written approval.
- Register domain names, social accounts, or business names that could be mistaken for the Company.
- Engage in any practice that is unlawful, unethical, or damaging to the reputation of the Company or an Institution.
Brand and Intellectual Property
All intellectual property in the Platform, its content, documentation, brochures, and the Company's marks remains the property of the Company or its licensors. No rights are transferred to the Partner other than the limited right of use stated here.
The Partner may use the Company's approved logos and marketing material solely to promote the referral services, in the form supplied and without modification. This right ends immediately on termination, and the Partner must then remove the Company's marks from all its materials and channels.
Confidentiality and Data Protection
Each party will keep confidential the commercial terms, Student data, pricing, technical information, and any other non-public information received from the other, and will use it only to perform its obligations under these Terms.
The Partner must process Student personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Company's Privacy Policy, apply reasonable security safeguards, and report any suspected data breach to the Company within 24 hours of becoming aware of it.
Term, Suspension, and Termination
These Terms apply from the date of Partner onboarding and continue until terminated. Either party may terminate for convenience on 30 days' written notice.
The Company may suspend or terminate Partner access immediately, without notice, where it reasonably suspects document fraud, misrepresentation to Students, breach of confidentiality, non-payment, or any conduct that exposes the Company or an Institution to legal or reputational risk.
On termination, Platform access ends, pending Leads are handled directly by the Company, and Commission already earned on completed qualifying events remains payable subject to verification and set-off. The sections on confidentiality, intellectual property, liability, indemnity, and governing law survive termination.
Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. The Company does not warrant uninterrupted availability, and does not guarantee admission decisions, scholarship awards, visa outcomes, course availability, or fee structures, all of which are controlled by the Institutions and the relevant authorities.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings. The Company's total aggregate liability arising out of or in connection with these Terms is limited to the total Commission paid to the Partner in the three months preceding the event giving rise to the claim.
Indemnity
The Partner will indemnify and hold harmless the Company, its directors, employees, and Institutions against all claims, damages, penalties, and reasonable legal costs arising from the Partner's breach of these Terms, misrepresentation to a Student, submission of fraudulent documents, mishandling of Student data, or violation of applicable law.
Governing Law and Dispute Resolution
These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute through good-faith discussion between authorised representatives within 30 days.
Any dispute that remains unresolved will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Gurugram, Haryana, and the language is English. Subject to arbitration, the courts at Gurugram, Haryana have exclusive jurisdiction.
Changes and Contact
The Company may amend these Terms to reflect changes in its services or legal obligations. Material changes will be notified through the partner portal or by email at least 15 days before they take effect. Continued use of the Platform after that date constitutes acceptance.
